1. Scope & Purpose

These Terms of Service (“Terms”) govern your access to and use of the CosmanX platform and the related services made available by COSMANX PTE. LTD. (“Company”, “CosmanX”, “we”, “us”, or “our”).

These Terms apply to all individuals and businesses that access or use any part of:

• the CosmanX website;
• the account dashboard and management portal;
• virtual card management features; and
• APIs, integrations, and other technical functionality provided through the Platform.

By accessing, registering for, or using any CosmanX Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Definitions

For the purposes of these Terms:

• “Platform” means the CosmanX website, account dashboard, applications, APIs, integrations, and associated software provided by CosmanX.
• “User” means any individual, business, organization, or other legal entity accessing or using the Platform.
• “Virtual Card” or “Virtual Cards” means prepaid or virtual payment cards made available by licensed partner issuers and managed through the CosmanX Platform.
• “Account” means a registered user profile created to access and use the Platform.
• “Services” means the software features and functionality through which Users may request, access, manage, monitor, and use Virtual Cards and related Platform functionality.

3. Account Requirements

3.1 Account Registration

Users must create an Account before accessing certain features of the Platform. Registration details and supporting information provided to CosmanX must be complete, accurate, and current.

3.2 Account Security

Users are responsible for protecting usernames, passwords, authentication credentials, and all other information used to access their Account.

3.3 Account Activity

The Account holder is responsible for all activity conducted through its Account, including activity by employees, administrators, authorized users, and other team members who have been granted access.

3.4 Verification

CosmanX or its service partners may require identity verification, business verification, KYC, KYB, or other compliance checks before certain Services or features can be activated.

Access to certain features may be restricted, delayed, or suspended until the applicable verification process has been completed successfully.

4. User Responsibilities

Users are responsible for ensuring that their use of the Platform and Services complies with these Terms and all applicable legal and operational requirements.

This includes responsibility for:

• complying with applicable laws, regulations, and legal obligations;
• providing accurate, complete, and up-to-date information;
• protecting Account credentials and methods of access;
• supervising actions performed by team members and authorized users;
• complying with applicable merchant and transaction policies; and
• ensuring appropriate use of merchant category codes (MCCs) and other transaction-related requirements.

Users must not use the Platform or Services for unlawful, fraudulent, abusive, deceptive, or otherwise prohibited activities.

5. Virtual Cards

5.1 Partner-Issued Cards

Virtual Cards accessible through the CosmanX Platform are issued by third-party partner issuers.

Card availability, activation, transaction limits, eligibility, permitted usage, approval, and other card-related matters may be subject to the applicable issuer’s terms, policies, compliance requirements, and approval procedures.

5.2 Role of CosmanX

COSMANX PTE. LTD. provides technology, software, account-management tools, and related platform functionality.

Unless expressly stated otherwise, CosmanX does not directly issue payment cards, operate as a bank, hold customer funds, or independently provide regulated payment services.

Regulated financial, card-issuing, custody, banking, or payment services made available in connection with the Platform may be provided by appropriately licensed third-party partners.

6. Service Limitations

CosmanX works to maintain reliable access to the Platform, but we do not guarantee that every Service, feature, card request, or transaction will always be available or successful.

In particular, CosmanX does not guarantee:

• continuous or uninterrupted availability of the Platform or Services;
• approval of every Virtual Card application or card request;
• acceptance of Virtual Cards by every merchant, website, or service provider;
• approval or successful completion of every transaction; or
• any particular authorization, acceptance, or transaction success rate.

Service availability may depend on third-party partners, technical infrastructure, regulatory requirements, geographic restrictions, compliance reviews, and other circumstances outside CosmanX’s direct control.
