1. Purpose of This Statement

This Risk Disclosure Statement describes potential risks associated with the use of the CosmanX Platform and Virtual Cards made available through third-party partners.

By accessing or using the Platform, the User acknowledges these risks and accepts that certain outcomes may depend on factors outside CosmanX’s direct control.

2. General Platform Risk

CosmanX operates as a software platform and provides access to Virtual Cards issued by licensed third-party partners.

COSMANX PTE. LTD. does not guarantee uninterrupted Platform operation, continuous transaction approval, or universal merchant acceptance.

3. Transaction Risk

Users acknowledge that:

• merchants may approve or decline transactions at their own discretion;
• transactions may be delayed, rejected, or fail due to issuer, network, or processor limitations;
• unusually high decline rates or other high-risk transaction patterns may trigger a review or temporary restriction.

CosmanX is not responsible for losses caused solely by merchant decisions, declined payments, or processing limitations outside the Company’s direct control.

4. Advertising Platform Risk

Virtual Cards may be used with third-party advertising platforms such as Meta, Google, TikTok, or similar services, subject to applicable card-program terms.

CosmanX is not responsible for:

• advertising account restrictions, suspension, or closure;
• automated enforcement or bans applied by an advertising platform’s risk systems;
• policy breaches, prohibited content, or other violations committed by the User.

Advertising performance, campaign outcomes, and the status or health of third-party advertising accounts remain the User’s responsibility.

5. High-Risk Merchant Category Code (MCC) Exposure

Certain merchant category codes may be classified as restricted or high risk by partner issuers, card networks, processors, or CosmanX compliance controls.

Activity involving these categories may result in:

• transaction rejection;
• temporary or permanent card restriction;
• additional compliance review or documentation requests.

Users are responsible for avoiding prohibited or restricted merchant categories identified in applicable Terms, card-program rules, or other CosmanX policies.

6. Crypto Conversion Risk

Where funding involves conversion from digital assets, Users acknowledge that:

• settlement may depend on blockchain confirmations and processor availability;
• conversion charges, spreads, and exchange rates may change;
• network congestion, compliance review, or processor delays may affect settlement times.

Refunds or reversals of crypto-funded transactions may be limited or unavailable depending on the rules of the applicable provider or partner issuer.

7. Chargeback & Dispute Risk

Disputes, chargebacks, or related claims initiated by merchants, card networks, processors, or card users may lead to:

• temporary card or Account restrictions;
• loss or suspension of cashback or reward eligibility;
• requests for additional supporting documents or transaction evidence.

Significant chargeback activity or serious dispute-related risk may result in suspension or termination of card access, subject to applicable partner rules.

8. Technical Interruptions

The Platform may periodically undergo maintenance, updates, or experience service interruptions caused by technical issues, infrastructure problems, partner outages, or other circumstances.

CosmanX does not guarantee continuous 24/7 availability of every Platform feature.

9. Compliance Enforcement Risk

CosmanX may restrict, suspend, or terminate access to some or all Services where:

• suspicious, unusual, or potentially prohibited activity is identified;
• compliance, sanctions, KYC, KYB, or other screening requirements are not satisfied;
• requested documents or supporting information are not provided within a reasonable period.

To the extent permitted by applicable terms and law, service interruptions caused by legitimate risk-management or compliance actions may not give rise to compensation.

10. Limitation of Liability Reminder

Subject to applicable law and the CosmanX Terms of Service, Users acknowledge that CosmanX may not be responsible for losses arising from:

• card or transaction declines;
• advertising account suspension or enforcement by third-party platforms;
• lost revenue, missed opportunities, or business interruption;
• settlement, network, or conversion delays;
• decisions or actions taken by partner issuers, processors, merchants, card networks, or other third parties.
